These Terms of Use (these "Terms") govern access to and use of the website located at www.coosa.com (the "Site"), operated by Coosa Inc., a Nevada corporation ("Coosa," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. ACCEPTANCE AND CHANGES TO THESE TERMS
1.1 Agreement to Terms
Your access to and use of the Site constitutes your acceptance of these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
1.2 Changes
We may update these Terms from time to time. Changes are effective when posted to the Site, and the Effective Date above reflects the most recent revision. Continued use of the Site after a change is posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
1.3 Relationship to Design Services
These Terms govern use of the Site only. They do not apply to, modify, or supersede any Interior Design Services Agreement, Scope of Work, Change Order, or other signed engagement between Coosa and a design client, which is governed exclusively by the terms of that agreement.
2. THE SITE AND ITS PURPOSE
2.1 Informational Purpose
The Site provides general information about Coosa's studio, principal designer, service offerings, and completed and in-progress projects. Content on the Site is provided for general informational and portfolio purposes only.
2.2 No Offer; No Contract Formation
Nothing on the Site constitutes an offer to perform services, a price quotation, a guarantee of availability, or a binding proposal of any kind. A design engagement with Coosa is formed only through a separately negotiated and signed Interior Design Services Agreement and, where applicable, a Scope of Work. Submitting an inquiry through the Site or by email does not create any engagement, retainer, or professional relationship.
2.3 No Professional Advice
Descriptions of services, project narratives, images, and other content on the Site do not constitute interior design, architectural, engineering, or other professional advice applicable to any particular property or project, and should not be relied upon as such.
2.4 Project Descriptions and Images
Images and descriptions of completed and in-progress projects illustrate representative past and current work only. Actual outcomes, materials, finishes, colors, timelines, and costs for any future project will vary based on project-specific conditions, and no similarity of outcome, cost, or schedule is guaranteed or implied by any content on the Site.
3. INTELLECTUAL PROPERTY
3.1 Ownership
All content on the Site — including text, photographs, renderings, graphics, layouts, source code, and the Coosa name, logo, and other branding — is owned by Coosa or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws, except where otherwise noted.
3.2 Limited License
Coosa grants you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own personal, non-commercial reference. No other right or license, express or implied, is granted.
3.3 Restrictions
You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display or perform, scrape, data-mine, or commercially exploit any content from the Site without Coosa's prior written permission.
3.4 Project Photography
Photographs and depictions of client projects appearing on the Site are used consistent with the media and publication rights granted to Coosa under the applicable client design agreement, and remain subject to Coosa's ownership and license terms as described in Section 3.1 above.
4. ACCEPTABLE USE
You agree to use the Site only for lawful purposes and agree not to: (a) disrupt, impair, or interfere with the operation or security of the Site; (b) attempt to gain unauthorized access to the Site or any related systems or networks; (c) introduce viruses, malware, or other harmful code; (d) use any automated means to scrape, harvest, or index Site content without Coosa's prior written consent; or (e) impersonate any person or misrepresent your affiliation with any person or entity. The Site does not accept user-submitted content such as comments, reviews, or uploads; its only interactive feature is a direct email link to Coosa.
5. THIRD-PARTY LINKS AND SERVICES
5.1 External Links
The Site may link to third-party websites or services, such as social media platforms. Coosa is not responsible for the content, policies, or practices of any third-party site, and accessing a linked site is entirely at your own discretion and risk.
5.2 Hosting and Platform Providers
The Site is hosted and operated using third-party website hosting and related service providers. Use of those underlying platforms may be subject to the providers' own terms, in addition to these Terms.
6. DISCLAIMERS
6.1 As-Is Basis
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.
6.2 No Guarantee of Accuracy or Availability
While Coosa strives for accuracy, Coosa does not warrant that content on the Site is current, complete, or error-free, and may add, remove, or modify content at any time without notice. Coosa does not guarantee uninterrupted, timely, secure, or error-free access to the Site.
7. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, COOSA AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, COOSA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
8. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Coosa and its owners, members, managers, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your misuse of the Site or your violation of these Terms.
9. GOVERNING LAW; VENUE
These Terms are governed by the laws of the State of Nevada, without regard to conflicts-of-law principles. Any dispute arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction there.
10. CHILDREN
The Site is not directed to individuals under the age of 13, and Coosa does not knowingly collect personal information from children. See our Privacy Policy for more information.
11. MISCELLANEOUS
11.1 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and Coosa regarding use of the Site and supersede any prior agreements regarding the Site.
11.2 Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
11.3 No Waiver
Coosa's failure to enforce any provision of these Terms is not a waiver of that or any other provision.
11.4 Assignment
Coosa may assign these Terms without restriction. You may not assign these Terms without Coosa's prior written consent.

Privacy Policy

This Privacy Policy describes how Coosa Inc., a Nevada corporation ("Coosa," "we," "us," or "our") collects, uses, and discloses information in connection with the website located at www.coosa.com (the "Site"). This Policy does not apply to information provided to Coosa under a signed Interior Design Services Agreement, which is addressed by the confidentiality and data provisions of that agreement. By using the Site, you consent to the practices described in this Policy.
1. INFORMATION WE COLLECT
1.1 Information You Provide Directly
The Site does not include a contact form. The "Contact" link and other email links on the Site simply open your own email application, addressed to Coosa. Any personal information you choose to send us this way — such as your name, email address, phone number, project details, or property information — is sent directly to us as an email and is not collected or stored through the Site itself. If you email us to request our occasional newsletter, we will collect and retain the email address you provide for that purpose.
1.2 Information Collected Automatically
When you browse the Site, our website hosting platform and any analytics tools we use may automatically collect certain technical and usage information, such as IP address, browser and device type, operating system, referring and exit pages, pages viewed, and approximate geographic location derived from your IP address. This information is typically collected through cookies, pixels, and similar technologies, as described in Section 4 below.
1.3 No Sensitive Information Requested
We do not use the Site to intentionally collect Social Security numbers, government identification numbers, financial account numbers, or health information. Please do not include this type of information in any email you send us.
2. HOW WE USE INFORMATION
We use the information described above to:
Respond to inquiries and communicate with you when you reach out;
Send newsletter communications to those who have requested them, and allow recipients to unsubscribe at any time;
Operate, maintain, and improve the Site and understand how it is used;
Protect the rights, property, and safety of Coosa, our clients, and others; and
Comply with applicable legal obligations.
We do not use information collected through the Site to form a design services engagement. An engagement with Coosa is established only through direct communication and a separately signed Interior Design Services Agreement.
3. HOW WE SHARE INFORMATION
3.1 Service Providers
We may share information with trusted service providers who support our operation of the Site — for example, website hosting platforms, analytics providers, and email or newsletter platforms — solely to help us provide and improve the Site and our communications. These providers are authorized to use your information only as necessary to provide services to us.
3.2 Legal and Safety Reasons
We may disclose information if required by law, regulation, legal process, or governmental request, or where we believe disclosure is necessary to protect the rights, property, or safety of Coosa, our clients, or others.
3.3 Business Transfers
If Coosa is involved in a merger, acquisition, financing, or sale of all or a portion of its assets, information collected through the Site may be transferred as part of that transaction, subject to applicable law.
3.4 No Sale of Personal Information
Coosa does not sell personal information collected through the Site, and has not sold such information in the preceding twelve (12) months.
4. COOKIES AND TRACKING TECHNOLOGIES
4.1 Use of Cookies
The Site uses cookies and similar technologies, including those provided by our website hosting platform and any analytics tools, to support Site functionality and to help us understand how the Site is used.
4.2 Managing Cookies
You can disable cookies through your browser settings. If you do, some portions of the Site may not function as intended.
4.3 Do Not Track
Because there is not yet a common industry standard for recognizing browser "Do Not Track" signals, the Site does not currently respond to such signals.
5. DATA RETENTION
We retain personal information only for as long as reasonably necessary to respond to your inquiries, operate the Site, communicate with newsletter subscribers, and meet any applicable legal, accounting, or dispute-resolution obligations, after which it is deleted or de-identified.
6. SECURITY
We take reasonable administrative and technical measures designed to protect the information we handle. However, no method of transmission over the internet or method of electronic storage is entirely secure, and we cannot guarantee absolute security.
7. YOUR PRIVACY RIGHTS
7.1 General Rights
Depending on where you are located, you may have the right to request access to, correction of, or deletion of personal information we hold about you, and to opt out of newsletter or marketing communications at any time by replying to any such email or contacting us using the details in Section 10 below.
7.2 Nevada Right to Opt Out of Sale
Nevada law (NRS 603A) gives Nevada residents the right to submit a verified request directing an online operator not to sell certain covered information the operator has collected. Coosa does not currently sell covered information collected through the Site. If you would like to submit such a request, you may do so using the contact information in Section 10 below, and we will maintain your request in accordance with Nevada law even though no sale is currently taking place.
7.3 Submitting a Request
To submit any request described in this Section, please contact us using the information in Section 10 below. We may need to verify your identity before completing certain requests.
8. CHILDREN'S PRIVACY
The Site is not intended for individuals under the age of 13, and we do not knowingly collect personal information from children. If you believe a child has provided us with personal information, please contact us so that we can delete it.
9. THIRD-PARTY LINKS
The Site may link to third-party websites or services, such as social media platforms. We are not responsible for the privacy practices or content of any third-party site, and encourage you to review the privacy policy of any site you visit.
